1. Agreement
These Terms of Service (“Terms”) govern your use of www.bpbrandcorp.com (the “Site”) and the professional services provided by Bp Brand Corp (“Bp Brand Corp”, “we”, “us”) to you (“Client”, “you”). By using the Site, accepting a proposal, signing an engagement letter or paying an invoice, you agree to these Terms.
If a signed engagement letter, proposal or statement of work (an “Engagement”) conflicts with these Terms, the Engagement controls for that specific matter.
2. Services
Bp Brand Corp provides business management, consulting and business acceleration services, which may include:
- Fractional CFO services: budgeting, cash flow management, forecasting, financial reporting and financing preparation.
- Financial reviews and internal control assessments.
- QuickBooks setup, cleanup and ongoing bookkeeping.
- Supplier sourcing in Asia for import and export.
- Development and management of print-on-demand stores on Shopify.
- Business management and strategic consulting.
The specific scope, deliverables, timeline and fees for each matter are defined in the Engagement. Work outside that scope requires written approval and may be billed separately.
3. Nature of our services
Unless an Engagement expressly states otherwise, we do not provide tax return preparation, legal advice, or investment advice. Where those services are needed, we may recommend that you consult an appropriately licensed professional. Financial projections and recommendations are based on information available at the time and are not guarantees of future results.
4. Client responsibilities
- Provide complete, accurate and timely information, records and system access.
- Make management decisions and retain responsibility for your business, financial statements, tax filings and regulatory compliance.
- Review and approve deliverables within a reasonable time.
- Maintain the security of your own accounts and promptly notify us of any unauthorized access.
We may rely on the information you provide without independent verification and are not responsible for errors resulting from incomplete or inaccurate information.
5. Fees, payment and refunds
Fees. Fees are set out in the Engagement and may be monthly, hourly, fixed per project, or a combination.
Payment. Invoices are due upon receipt unless the Engagement states otherwise. Payments may be processed by third-party payment processors, and by paying you authorize us to charge the payment method you provide for the agreed amounts. Monthly services are billed in advance for each period.
Late payments. If an invoice is more than 15 days past due, we may suspend Services until payment is received.
Third-party costs. Platform subscriptions, apps, samples, shipping, customs duties, supplier payments and similar costs are your responsibility, whether paid directly or reimbursed to us.
Refunds. Duplicate or erroneous charges are refunded in full. Monthly services may be cancelled with written notice before the next billing period; fees for a period already started are not prorated. Project deposits are refundable only if cancelled before work begins. Third-party costs are not refundable by us. Approved refunds are issued to the original payment method.
Billing questions. Please contact us through our Customer Support page before initiating a chargeback.
6. Third-party platforms and suppliers
Some Services depend on platforms and parties we do not control, including Shopify, Intuit QuickBooks, print-on-demand providers, payment gateways, manufacturers, freight forwarders and customs authorities.
- Your use of those platforms is subject to their own terms and fees.
- For sourcing projects, we identify, evaluate and communicate with suppliers on your behalf, but the purchase contract is between you and the supplier. We are not responsible for a supplier’s product quality, delays, defects, intellectual property compliance, or for customs, tariffs and import regulations, except to the extent of our own negligence.
- We do not guarantee sales volumes, store revenue, financing approval or specific business results.
7. Intellectual property
Upon full payment, you own the final deliverables created specifically for you (such as reports, financial models, store content and designs), except for third-party materials and our pre-existing tools, templates and methods, which remain our property. We grant you a non-exclusive license to use those pre-existing materials as incorporated in your deliverables for your internal business purposes.
The content of the Site, including text, design and logos, belongs to Bp Brand Corp and may not be copied without permission.
8. Confidentiality
Each party will keep the other’s non-public business and financial information confidential and use it only to perform or receive the Services, except where disclosure is required by law or authorized in writing. Our handling of personal information is described in our Privacy Policy.
9. Disclaimers and limitation of liability
The Site is provided “as is” for general information and does not constitute professional advice.
To the maximum extent permitted by law, Bp Brand Corp will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability arising from any Engagement will not exceed the fees you paid to us for that Engagement in the twelve (12) months before the claim arose.
10. Indemnification
You agree to indemnify and hold Bp Brand Corp harmless from claims, losses and expenses arising from inaccurate information you provided, your products or their sale, your violation of law or third-party rights, or your misuse of the Services, except to the extent caused by our gross negligence or willful misconduct.
11. Term and termination
Either party may terminate an ongoing Engagement with fifteen (15) days’ written notice, unless the Engagement states otherwise. You remain responsible for fees for work performed and costs incurred through the termination date. On termination, we will return client materials on request and remove our access to your systems.
12. Governing law and disputes
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. The parties will first try to resolve any dispute informally by contacting each other in writing. If not resolved within 30 days, the dispute will be brought exclusively in the state or federal courts located in Harris County, Texas, and each party consents to that jurisdiction.
13. General
We may update these Terms from time to time; the version in effect when you accept an Engagement applies to that Engagement. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign your rights under these Terms without our consent.
